Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Athletes Club platform, including our website at athletesclub.app, facility management web application, and member mobile applications for iOS and Android (collectively, the "Services"), operated by Athletes Club, LLC ("Athletes Club," "we," "us," or "our").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services. If you are using the Services on behalf of a business or facility, you represent that you have authority to bind that organization to these Terms.

2. Account Types

The Services support different account roles, including:

  • Facility operators and staff who manage memberships, schedules, sales, check-ins, and business operations.
  • Members and customers who use the mobile app or member-facing features to book classes, manage memberships, make purchases, and check in to facilities.

Your permissions depend on your role and the facility you are associated with. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any applicable law or regulation.
  • Impersonate another person or misrepresent your affiliation.
  • Interfere with or disrupt the Services, servers, or networks.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Upload malicious code or use automated means to scrape or overload the Services without permission.
  • Use the Services to harass, abuse, or harm others.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Services or other users.

4. Facility Relationships

If you are a member of a facility that uses Athletes Club, your relationship with that facility—including membership terms, pricing, refunds, cancellations, waivers, and facility rules—is primarily between you and the facility. Athletes Club provides the software platform used by the facility and is not responsible for the facility's independent policies or conduct, except as expressly stated in these Terms.

5. Payments and Billing

Certain features require payment. Payments may be processed by third-party payment processors such as Stripe. By making a purchase, you authorize us and our processors to charge your selected payment method for applicable fees, taxes, and charges.

Fees, billing cycles, and refund policies for facility subscriptions or member purchases may be set by Athletes Club, the facility, or both, as disclosed at the point of purchase. Except where required by law, fees are non-refundable unless explicitly stated otherwise.

You are responsible for keeping payment information current and for any charges incurred through your account.

5.1 Platform Subscriptions (Facility Operators)

If you operate a facility on Athletes Club, these additional terms apply to your platform subscription (SaaS billing to Athletes Club, distinct from member billing within your facility):

Free trial

New facilities receive a 15-day free trial unless otherwise stated at signup. During the trial, core features are available subject to plan limits. We may send trial reminder emails before the trial ends.

Auto-renewal

Paid subscriptions automatically renew each billing cycle (monthly or as selected) until canceled. By subscribing, you authorize Athletes Club and Stripe to charge your payment method on file for recurring fees, applicable taxes, and add-ons you enable.

Cancellation

You may cancel anytime from Billing → Manage subscription or by contacting billing@athletesclub.app. Cancellation takes effect at the end of the current billing period unless immediate cancellation is requested and accepted. You retain access until the period ends unless your account is suspended for non-payment.

Refunds

Platform subscription fees are generally non-refundable except where required by law or explicitly stated at purchase. Failed payment retries and dunning notices will be sent before suspension.

Payment processing

Platform subscriptions are processed by Stripe. You agree to Stripe's terms for payment methods stored in the Stripe Customer Portal or Checkout.

Suspension for non-payment

If payment fails, your account may enter past-due status. After the grace period, access may be suspended and member check-ins may be blocked until billing is restored.

Disputes

For billing disputes, contact billing@athletesclub.app within 30 days of the charge. Include your facility name, invoice date, and amount.

6. Memberships, Bookings, and Marketplace Purchases

The Services may allow you to purchase memberships, class packages, personal training sessions, events, or retail products. Availability, pricing, cancellation windows, no-show policies, and entitlement rules may be determined by the facility offering the product or service. We may provide tools to manage these workflows but do not guarantee availability of any specific class, trainer, product, or time slot.

7. QR Check-In and Facility Access

Check-in features, QR credentials, and access controls are provided for operational convenience. Facilities remain responsible for on-site security, eligibility verification, and enforcement of access rules. Athletes Club does not guarantee entry to any physical location.

8. Intellectual Property

The Services, including software, design, branding, logos, and content provided by Athletes Club, are owned by Athletes Club or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Services.

You retain ownership of content you submit, but you grant Athletes Club a limited license to host, process, display, and use that content as necessary to operate and improve the Services.

9. Third-Party Services

The Services may integrate with or link to third-party services, including payment processors, mapping providers, and communication tools. Your use of third-party services is subject to their terms and privacy policies. Athletes Club is not responsible for third-party services.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHLETES CLUB DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHLETES CLUB AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ATHLETES CLUB FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Athletes Club and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content, your violation of these Terms, or your violation of any rights of another person or entity.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Services, users, or third parties.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory local law requires otherwise.

15. Changes to These Terms

We may modify these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
